Terms of Service

Welcome to Numbric! These Terms and Conditions govern your access to and use of the Numbric mobile application ("the App"). By using the App, you agree to comply with these Terms and Conditions. If you do not agree with any part of these terms, please do not use the App.

Intellectual Property

1. Ownership: Numbric owns all intellectual property rights in and to the App, including but not limited to the design, text, graphics, logos, icons, images, software, and any other content contained within the App. Nothing in these Terms transfers any ownership rights to you.
2. License: Numbric grants you a personal, revocable, non-exclusive, non-transferable license to use the App for your personal, non-commercial use only. You may not copy, modify, distribute, sell, or lease any part of the App without our express written consent.

User Conduct

When using the App, you agree not to:

• Attempt to gain unauthorized access to the App or its related systems or networks.
• Interfere with or disrupt the App's functionality, servers, or security.
• Decompile, reverse-engineer, or attempt to derive the source code of the App.
• Use the App for any illegal, fraudulent, or unauthorized purpose.
• Violate any applicable laws, regulations, or third-party rights.
• Upload or distribute any content that is harmful, offensive, or violates any person's privacy or rights.

Advertisements and Third-Party Content

The App may display third-party advertisements. Numbric does not control or endorse the content of these ads, and any interactions or transactions with advertisers found on the App are solely between you and such advertisers.

The App may also include content from third parties (e.g., links to external websites or services). Numbric is not responsible for the content or accuracy of this third-party material, and your access to and use of any third-party content is at your own risk.

Liability Limitation

Disclaimer of Warranties: The App is provided on an "as-is" and "as-available" basis. To the fullest extent permissible under applicable law, Numbric expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and reliability. We do not guarantee that the App will be uninterrupted, error-free, or free of viruses or other harmful components.

Exclusion of Damages: To the maximum extent permitted by law, Numbric shall not be liable for any direct, indirect, incidental, consequential, exemplary, special, or punitive damages arising out of or in any way connected with your use or inability to use the App, including but not limited to damages related to lost profits, lost data, or business interruption, even if Numbric has been advised of the possibility of such damages.

Limitation of Liability Amount: Where liability cannot be excluded in its entirety, you agree that Numbric's total liability for any and all claims in the aggregate is limited to the amount you have paid to Numbric in connection with your use of the App (if any) or CAD $100.00, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you in their entirety. In such jurisdictions, Numbric's liability will be limited to the greatest extent permitted by law.

Selling of Products or Services

Numbric may offer products or services for sale within the App. Any such sales will be governed by separate terms and conditions that are specific to each product or service. In the event of a conflict between these Terms and those specific terms, the specific terms will control with respect to that product or service.

User Responsibility

Users are responsible for the accuracy and completeness of the information they provide in the App. Users should not misuse the App or engage in any illegal activities through the App. You assume all risks associated with your use of the App, including any reliance on its quality, reliability, or accuracy.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada. You hereby waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Indemnification

By using the App, you agree to indemnify, defend, and hold harmless Numbric and its affiliates, officers, directors, employees, agents, and licensors from any and all claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in any way related to your use or misuse of the App, violation of these Terms and Conditions, or infringement of any intellectual property or other right of any person or entity. Numbric reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with Numbric in asserting any available defenses.

Changes to the Terms and Conditions

Numbric reserves the right to modify or update these Terms and Conditions at any time without prior notice. We will post the most current version of these Terms in the App. Your continued use of the App after any such changes have been posted constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically.

Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any invalid or unenforceable provision will be construed as narrowly as possible to give effect to its original intent.

By using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these Terms, you must discontinue use of the App immediately.
